US company events (Form 8-K)

US public companies file a Form 8-K (current report), usually within four business days, when something material happens: a change in management, a major agreement, a completed acquisition, results of operations. Each report carries SEC item numbers (for example 5.02, officer or director changes), which is how the reports below are grouped.

An item number only says what kind of event it is. Item 5.02 can be a CEO resignation or a single new outside director, so open the SEC filing from each line to see what was reported. Item 1.01 (material agreement) also covers routine contracts such as credit facility amendments.
